Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (or the organisation you represent) and FlowState Technologies, Inc. (“FlowState”, “we”, “us”). By creating an account or using the Service, you confirm you are at least 18 years old and have the authority to bind your organisation to these Terms.

FlowState provides an AI-powered human capital operating system including meeting intelligence, performance management, and visual SOP creation tools (“Service”). We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

• You are responsible for maintaining the confidentiality of your credentials.
• You must notify us immediately of any unauthorised access at legal@getflowstate.ai.
• One account per person. Team accounts must be set up under your organisation's workspace.
• We reserve the right to terminate accounts that violate these Terms.

• Subscriptions are billed in advance on a monthly or annual cycle via Stripe.
• All fees are non-refundable except as required by applicable law or as expressly stated in our refund policy.
• We will provide at least 30 days notice of price changes.
• Failure to pay will result in suspension after a 7-day grace period.
• Cancellations take effect at the end of the current billing period. You retain access until then.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation
• Record meetings of participants without their knowledge or consent
• Upload content that infringes third-party intellectual property rights
• Attempt to reverse-engineer, decompile, or access non-public portions of the Service
• Use automated scripts or bots to scrape or abuse the Service
• Resell or sublicense access to the Service without written consent
• Transmit malicious code, spam, or any content that could harm the Service or other users

You are solely responsible for obtaining any required consent from meeting participants before using FlowState's meeting bot or recording features.

• You retain full ownership of all content you upload or generate through the Service.
• You grant FlowState a limited, non-exclusive, royalty-free licence to store, process, and display your content solely to provide and improve the Service for you.
• We do not claim any intellectual property rights over your content.
• You warrant that you have all necessary rights and permissions to the content you upload.

• AI-generated outputs (summaries, SOPs, reviews) are provided “as-is” for informational purposes.
• You are solely responsible for reviewing, validating, and acting upon AI-generated content.
• FlowState does not guarantee the accuracy, completeness, or fitness for purpose of AI outputs.
• AI outputs do not constitute legal, HR, financial, or professional advice.

The Service, including its software, design, trademarks, and content created by FlowState, is owned by FlowState Technologies, Inc.and protected by intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand features without prior written consent.

You agree to indemnify, defend, and hold harmless FlowState Technologies, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your failure to obtain required consent from meeting participants.

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 9, 10, 11, and 13 survive termination.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

We reserve the right to modify these Terms at any time. We will provide at least 14 days notice for material changes via email to your registered address. Continued use after the effective date constitutes acceptance.
